This Agreement is entered into by and between:
(A) Lazyfoxs Logistics Pvt Ltd, a company incorporated under the Companies Act, 2013 (Corporate Identification Number as recorded with the Ministry of Corporate Affairs and displayed at /contact), operating the "Delv Express" brand, with corporate office at Plot 63, Udyog Vihar Extension, Ecotech-II, Surajpur, Greater Noida, Uttar Pradesh 201306, India ("Delv Express"); and
(B) the natural individual identified by the mobile number, full name and KYC documents tendered through the Delv Partner mobile application (com.delvexpress.partner) and accepted by Delv Express ("Partner").
This is a binding contract. Read it carefully. You enter into this Agreement by tapping "I accept" on the onboarding screen of the Delv Partner application after completing OTP authentication and KYC submission. Your acceptance is recorded with a timestamp, your IP address and your device identifier and constitutes a valid electronic contract under the Information Technology Act, 2000 and the Indian Contract Act, 1872.
1. Definitions
Terms not defined here have the meanings given in the Terms of Service and the Privacy Policy, which are incorporated into this Agreement by reference. In particular:
- "App" means the Delv Partner mobile application.
- "Assignment" means a pickup, transit or delivery task offered to you through the App.
- "Earnings" means the amounts payable to you under clause 6.
- "Hub" means the Delv Express-operated or Delv Express-authorised physical facility to which you are assigned.
- "Platform" means the App, the Customer dashboard, the API, the control tower and the underlying systems.
- "Vehicle" means the bike, scooter, three-wheeler, car or tempo declared by you in the App and used by you to perform Assignments.
2. Status — Independent Contractor
2.1 You are engaged as an independent contractor offering delivery services on your own account through the Platform. You are not an employee, workman or agent of Delv Express within the meaning of the Industrial Disputes Act, 1947, the Code on Wages, 2019, the Code on Social Security, 2020 or any other statute, except as expressly conferred by this Agreement or by an Applicable Law that cannot lawfully be displaced.
2.2 No relationship of master and servant, partnership, joint venture, agency, franchise or fiduciary is created between us. You are free to choose when to log in, when to log out, which Assignments to accept and whether to render services to any other person who is not a competitor (subject to clause 3.6 below on mutual exclusivity during an active Assignment).
2.3 You are responsible for your own income tax, GST registration (if and where applicable), professional-tax registration and for any other registration or licence required to render delivery services.
2.4 Notwithstanding clause 2.1, Delv Express acknowledges and adopts the welfare entitlements set out in this Agreement that are consistent with, or required by, the Code on Social Security, 2020 (once notified in the relevant respect), and the Motor Vehicles Aggregator Guidelines, 2025.
3. Eligibility, KYC and onboarding
3.1 Minimum age. You confirm you are at least eighteen (18) years of age.
3.2 KYC. You submit your Aadhaar (number and image), PAN (number and image) and Driving Licence (number and image) on the basis of the Aadhaar / KYC Consent Notice.
3.3 Driving licence and fitness. You hold a valid driving licence appropriate to the Vehicle category and a road-worthy, statutorily insured Vehicle.
3.4 Background checks. You consent to the police verification, medical fitness assessment and (where required) psychological assessment contemplated by the Motor Vehicles Aggregator Guidelines, 2025. You will cooperate with our chosen vendor for these checks and will provide accurate information.
3.5 Induction and refresher training. You will complete the induction training we make available before taking your first Assignment, and any periodic refresher training we provide (typically annually, or quarterly if your performance metrics fall below the prescribed band).
3.6 Mutual exclusivity during an active Assignment. You will not, while an Assignment is in your custody, accept or perform any other delivery, ride-hail or commercial transport task for any other person or platform. You are otherwise free to engage with any third party at any other time.
4. Use of the App
4.1 You will use the App in accordance with the Terms of Service, including the acceptable-use rules in clause 5.3 and the prohibited / restricted goods rules in clause 6 thereof.
4.2 You will safeguard your credentials (mobile number, OTP confirmations, biometric prompts). You will not share, sub-let, lease, transfer or commercialise your account. If your account is compromised, you will inform us within 24 hours by writing to admin@delvexpress.com.
4.3 You will not falsify Assignment progress, ePOD photos, GPS traces or any other operational data in the App.
4.4 You consent to the active-shift GPS tracking described in clauses 3.3 and 15 of the Privacy Policy. Tracking runs only while you are logged in and is paused when you log out at end-of-shift.
5. Assignments
5.1 The Platform offers you Assignments on the basis of proximity, vehicle category, eligibility, rating and operational need. You are free to accept or decline Assignments; performance metrics will reflect acceptance and completion rates and may influence future allocation.
5.2 You will (a) reach the pickup point within the time indicated in the App, (b) verify the Shipment against the manifest, (c) transit it intact, (d) deliver it to the Recipient identified by the App, and (e) obtain the proof-of-delivery the App requests (signature, OTP, photo, geo-tagged confirmation, as configured).
5.3 You will not open, tamper with, deface, retain, redirect or misappropriate any Shipment.
5.4 You will treat Customers, Recipients, Hub Managers, fellow Partners and members of the public with courtesy. Any form of harassment, intimidation, discrimination, abuse, threat or violence is grounds for immediate termination under clause 12.
5.5 You will not solicit business from a Customer or Recipient outside the Platform, nor disclose any information observed during an Assignment to any third party.
6. Earnings, payouts and tax
6.1 Fare share. In accordance with the Motor Vehicles Aggregator Guidelines, 2025, you receive at least eighty percent (80%) of the applicable fare in respect of Assignments performed on your own Vehicle, and at least sixty percent (60%) where the Vehicle is owned or leased by Delv Express. The balance accrues to Delv Express as platform charges.
6.2 Minimum guaranteed earnings. Where the Central Government or the relevant State Government notifies a minimum guaranteed earning per hour or per day under the Motor Vehicles Aggregator Guidelines, 2025, we will implement and pay it.
6.3 Settlement cycle. Earnings are settled on a daily, weekly or fortnightly cycle as we publish from time to time and as is permitted by the Motor Vehicles Aggregator Guidelines, 2025. You may view your Earnings statement in the App.
6.4 Payouts. Payouts are made by bank transfer or UPI to the account / VPA you nominate. You are responsible for accuracy of the payout details and we are not liable for losses arising from an inaccurate nomination.
6.5 Tax. Where required, we deduct tax at source under sections 192, 194C, 194O or other applicable provisions of the Income-tax Act, 1961 and remit it to the Income Tax Department. We provide you with the corresponding TDS certificate or Form 26AS reflection.
6.6 Deductions. We may deduct from Earnings (a) advances or float released to you, (b) sums you have agreed in writing to repay, (c) recoveries for tampered or lost Shipments where you are responsible, and (d) statutory deductions. No other deduction is made without notice to you.
6.7 Disputes. Any reconciliation dispute must be raised in writing within thirty (30) days of the settlement statement, failing which the statement is final.
7. Welfare, insurance and social security
7.1 Insurance cover procured by Delv Express on your behalf. While you are actively engaged on the Platform, Delv Express maintains or procures on your behalf:
- health insurance cover of not less than Indian Rupees Five Lakh (INR 5,00,000); and
- term insurance cover of not less than Indian Rupees Ten Lakh (INR 10,00,000),
with such annual indexation as the Central Government may notify under the Motor Vehicles Aggregator Guidelines, 2025. The policies, exclusions, sums insured, beneficiary nomination and claims process are set out in a separate Insurance Schedule made available in the App.
7.2 Social-security entitlement. When the Code on Social Security, 2020 is fully notified for platform / gig workers, you will be entitled to the social-security benefits contemplated by that Code, including any contribution we are required to make to a social-security fund.
7.3 Vehicle insurance and own-damage. Statutory third-party motor insurance for your Vehicle is your responsibility. We strongly recommend a comprehensive (own-damage) policy. We do not insure your Vehicle except where we expressly so state in writing.
7.4 No employee benefits. Save for the entitlements expressly set out in this Agreement, you are not entitled to provident fund, gratuity, paid leave, paid medical leave, employee state insurance, bonus or any other employee benefit; this position may be revisited if and to the extent that the Code on Social Security 2020 (when notified) provides otherwise.
8. Health, safety and conduct
8.1 You will obey the Motor Vehicles Act, 1988, the Central Motor Vehicles Rules, 1989 and applicable traffic regulations.
8.2 You will not consume alcohol, narcotic or psychotropic substances while logged into the App.
8.3 You will wear the safety equipment (helmet, retro-reflective vest if provided) required for your Vehicle category.
8.4 You will rest adequately between shifts. While this Agreement does not impose a maximum shift length (the Motor Vehicles Aggregator Guidelines, 2025 having removed the prior 12-hour cap), Delv Express may, in the interest of road safety, time-out your account after extended continuous activity and require a rest break.
8.5 You will report immediately to the Hub Manager any accident, injury, theft, loss, dispute or interaction with law-enforcement during an Assignment.
8.6 No anti-harassment compromise. Delv Express maintains a workplace free from sexual harassment, discrimination and retaliation, in line with the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013, regardless of the absence of an express requirement under the Motor Vehicles Aggregator Guidelines, 2025. Complaints may be filed with the Internal Committee at admin@delvexpress.com.
9. Data, confidentiality and intellectual property
9.1 You acknowledge that, in the course of Assignments, you will see Customer, Recipient and operational data. You will not disclose, copy, photograph, transmit or use any such data outside the App and outside the purpose of the Assignment.
9.2 The App, the Customer dashboard, the brand "Delv Express" and the related visual identity are the exclusive property of Delv Express. Your use of them is limited to the App functionality.
9.3 Personal Data you submit is processed in accordance with the Privacy Policy and the KYC Consent Notice.
10. Grievance redressal for Partners
10.1 You may raise an operational, payment or welfare grievance through the in-App "Help" flow, or by writing to partner-admin@delvexpress.com.
10.2 We will acknowledge within forty-eight (48) hours and respond on substance within seven (7) days. If a passenger or Customer files a complaint against you, we will conduct an inquiry and inform you of the outcome within three (3) days, in accordance with the Motor Vehicles Aggregator Guidelines, 2025, before taking any action.
10.3 You may also approach our Grievance Officer (clause 13 of the Privacy Policy) for any data-protection grievance, the Internal Committee under the Sexual Harassment Act, 2013 for any harassment grievance, or, where the Code on Social Security 2020 provides, the appropriate statutory authority.
11. Off-boarding for cause; cooling-off period
11.1 We may deactivate your account immediately for cause, including for the matters in clauses 5.3, 5.4, 8.1, 8.2 or for repeated breach of this Agreement.
11.2 You will be informed in writing of the reason for deactivation and of any right of representation. Where a written representation is made within seven (7) days, we will review and respond within fourteen (14) days.
11.3 Cooling-off. A deactivation that is not for cause is preceded by a written notice of at least seven (7) days, except where law or regulator direction requires immediate action.
12. Termination
12.1 By you. You may de-register at any time through the App or by writing to admin@delvexpress.com. Termination is effective the next operational day after acknowledgement.
12.2 By us, for convenience. Either party may terminate this Agreement on thirty (30) days' written notice.
12.3 By us, for cause. As provided in clauses 11 and 13 of the Terms of Service.
12.4 Consequences. On termination (a) all pending Shipments in your custody must be returned to the Hub immediately, (b) any Delv Express-issued identification, uniform, Vehicle accessory or float must be surrendered, (c) settled Earnings will be paid in the next regular cycle and unpaid recoveries set off, and (d) data retention follows the Privacy Policy.
13. Liability
13.1 Liability allocations in clauses 8 and 16 of the Terms of Service apply, including the personal-liability shield in clause 16.4 for directors, officers and employees of Delv Express.
13.2 You will indemnify Delv Express against any third-party claim arising from your driving, your handling of Shipments or your conduct while engaged on the Platform, subject to the carve-outs in clause 16.2 of the Terms.
13.3 We will procure on your behalf the insurance described in clause 7 and the third-party motor liability cover that the Motor Vehicles Act mandates for any commercial vehicle in our scheme.
14. Governing law and disputes
14.1 This Agreement is governed by the laws of the Republic of India.
14.2 Operational, welfare or earnings disputes are first to be raised through the grievance flow in clause 10. Unresolved disputes are settled by arbitration in accordance with clause 18 of the Terms of Service, subject to the carve-outs in clause 18.5 thereof (preserving consumer-commission rights where the Partner qualifies as a consumer).
14.3 Nothing in this Agreement displaces any right you have under the Code on Social Security 2020 (once notified for platform workers), any State-level platform-worker statute, or any other Applicable Law that cannot lawfully be displaced.
15. General
15.1 Severability, assignment, no waiver, entire agreement, electronic signature and notices provisions of clause 20 of the Terms of Service apply.
15.2 Updates. Material changes to this Agreement will be notified at least thirty (30) days in advance through the App and by SMS to your registered mobile number. Continued use of the Platform after the effective date constitutes acceptance.
16. Confirmation of acceptance
By tapping "I accept" in the App, you confirm that:
- you have read and understood this Agreement, the Terms of Service, the Privacy Policy and the Aadhaar / KYC Consent Notice;
- you are entering into this Agreement freely, in your individual capacity, as an independent contractor;
- you meet the eligibility criteria in clause 3;
- the KYC documents you have submitted are genuine and lawfully held by you;
- you accept the welfare and insurance entitlements set out in clause 7;
- you accept the grievance and termination terms in clauses 10 to 12.
A timestamped record of your acceptance is preserved by us for as long as we hold the underlying records.
