Terms of Service

1. Acceptance

By creating an account, booking a shipment, or using any part of the Delv Express platform ("Services"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you don't agree, don't use the Services.

2. Definitions

  • "Delv Express", "we", "us" — Lazyfoxs Logistics Pvt Ltd, the operator of the platform.
  • "Customer", "you" — the business entity that signs up for and uses the Services.
  • "Services" — the Delv Express platform, dashboard, mobile apps, APIs, and the underlying logistics services (warehousing, freight, last-mile, hyperlocal, cold chain, cross-border, reverse).
  • "Shipment" — a parcel, consignment, or delivery booked through the Services.

3. Account & access

  • You must be 18+ and authorised to bind your organisation.
  • You're responsible for safeguarding credentials and for all activity under your account.
  • You must provide accurate information and keep it current.
  • We may suspend access for security reasons, non-payment, or breach of these Terms.

4. The Services

Delv Express provides logistics infrastructure — including but not limited to multi-courier shipping, warehousing, freight, hyperlocal delivery, cold chain, and a unified platform layer (Network, Orchestration, Intelligence, Visibility, Integration). Each service is governed by these Terms plus any service-specific addendum we sign with you.

5. Acceptable use

You agree not to:

  • Use the Services for unlawful, harmful, or fraudulent purposes.
  • Probe, scan, or test the vulnerability of the Services without written permission.
  • Circumvent access controls, rate limits, or licensing.
  • Reverse-engineer, decompile, or extract proprietary algorithms.
  • Resell or sublicense the Services without a partnership agreement.

6. Prohibited shipments

You will not ship any of the following without prior written approval and proper licensing:

  • Currency, negotiable instruments, precious stones beyond declared cover.
  • Live animals (without specific service agreement).
  • Hazardous materials beyond the corridors we license (Class 9 lithium etc. — case-by-case).
  • Narcotics or controlled substances outside legal pharma distribution.
  • Weapons, ammunition, explosives.
  • Goods restricted under Indian customs or export-control law.
  • Counterfeit, infringing, or stolen goods.

We reserve the right to refuse or hand over any shipment we suspect violates these Terms or applicable law.

7. Pricing & payment

  • Pricing is per the rate card or MSA executed between you and Delv Express, or as displayed in the dashboard for self-serve plans.
  • Invoices are issued monthly (or per the cadence in your MSA) with payment due within 15 days unless otherwise agreed.
  • Late payments accrue interest at 1.5% per month or the maximum permitted by law.
  • GST is added at the prevailing rate.
  • COD remittances are settled within T+3 to T+5 working days subject to RBI guidelines.

8. SLAs & liability

  • Service-level commitments are set out in the relevant rate card or MSA.
  • Default liability for loss or damage to a shipment is capped at the lower of (a) declared value with cover, or (b) the courier's standard liability schedule (typically ₹100 per consignment for couriers without declared value).
  • You can opt into shipping insurance through the dashboard for higher coverage.
  • We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
  • Our total aggregate liability for any claim in a 12-month period is capped at the amount paid by you to us in the preceding 12 months for the affected Service.

9. Data & privacy

Personal data is handled per our Privacy Policy. You warrant that you have the right to share with us any personal data of senders, receivers, or end customers that you upload, and that you'll comply with DPDP Act 2023 and applicable law.

10. IP & licence

  • The Delv Express platform, including software, design, content, trademarks, and APIs, is our exclusive property.
  • We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your own business purposes during the term of your subscription.
  • You retain ownership of your data and content. You grant us a licence to process it solely to provide the Services.

11. APIs & rate limits

  • API access is governed by the API documentation, including rate limits.
  • Production credentials are tied to a single tenant. Sharing across organisations requires a partnership agreement.
  • We may revoke API keys for abuse, security incidents, or breach of these Terms.

12. Termination

  • Either party may terminate for convenience with 30 days' written notice.
  • Either party may terminate immediately for material breach not cured within 15 days of notice.
  • On termination, you'll remain liable for fees accrued, and we'll provide reasonable assistance to migrate your data within 30 days.

13. Warranties & disclaimers

The Services are provided "as is" and "as available". Beyond the express commitments in your MSA, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

14. Indemnity

You agree to indemnify, defend and hold harmless Delv Express, its officers, employees and partners from any claim arising out of: (a) your use of the Services, (b) your breach of these Terms, (c) the contents of any shipment you book, or (d) your violation of any law or third-party right.

15. Dispute resolution

  • These Terms are governed by the laws of India.
  • Parties will first attempt good-faith resolution within 30 days of written notice.
  • Unresolved disputes will be submitted to arbitration under the Arbitration and Conciliation Act, 1996 (as amended), seated in Delhi, before a sole arbitrator mutually agreed (or appointed by the Delhi International Arbitration Centre).
  • Subject to the foregoing, courts in Delhi have exclusive jurisdiction.

16. Changes

We may update these Terms from time to time. Material changes will be notified at least 30 days in advance via email and an in-app banner. Continued use after the effective date means acceptance.
